CONSTITUTION OF THE MISSOURI RACQUETBALL ASSOCIATION

The Missouri Racquetball Association (MORA), is a voluntary, not-for-profit association established to develop, promote, and advance racquetball in Missouri in accordance with the rules and regulations of the United States Racquetball Association; and, in accordance with the by-laws, resolutions and policies the association may adopt.

The Mission statement of the association reads: The MORA is an all-voluntary, autonomous, not-for-profit organization created to develop, promote, and advance the sport of racquetball in the state of Missouri to all individuals including minorities, underprivileged, and youth through programs that promote recreational and competitive racquetball through good sportsmanship. All efforts will be made to promote racquetball with charitable programs that benefit our troubled youth. In addition, the MORA will host one charity event per year to benefit the charity of our choice.

The association shall have full authority to act upon matters that it deems in the best interests of racquetball in Missouri.
 
 

BY-LAWS OF THE MISSOURI RACQUETBALL ASSOCIATION

ARTICLE 1

Section 1.  The name of the association is the Missouri Racquetball Association (MORA)

Section 2.  The post office address of the association’s principal office is 4470 Westminster Place, St. Louis MO  63108.  The resident agent in charge of the principal is the State Director

Section 3.  The fiscal year of the association begins on the 1st of August and ends on the 31st of the following July.

Section 4.  Missouri Racquetball Associations official log shall bear the name and/or the letters of the words of the name of the association.

Section 5.  In order to facilitate communication and input between the MORA board and junior racquetball players, the board may form junior councils. The Missouri Junior Racquetball Association (MOJRA) will be for juniors prior to high school & the Missouri High School Association (MOHSA) for high school youth.  The junior councils shall be composed of members and have structure, goals, & purposes as are set forth by their own board.  One member of the MORA board shall sit on each council board and be a non-voting member unless a tiebreaker is needed.  The board may delegate to the Junior Councils such responsibilities, as the board desires, including if so desired to select one representative from each council to sit on the MORA board of Directors.  The MORA also maintains the right to establish and/or amend by-laws governing the functioning of the Junior Council.

Section 6.  Upon cessation or dissolution of the association, the board of directors shall, after paying, or making provision for payment of the liabilities of the association, dispose of all the associations assets in such a manner, and under such lawful conditions as prescribed by majority vote of the general membership of the association with the stipulation that such assets be distributed exclusively for the continued promotion, development, and advancement of racquetball to a charitable group or organization which, at the time, qualifies as an exempt organization.
 
 

ARTICLE II

Section 2.1 MORA is formed for, but not limited to, the following purposes:

A.) To promote and develop interest and participation in racquetball with emphasis on the growth and development of programs for juniors, minorities, women, and the physically impaired.  In addition, all efforts will be made to promote racquetball programs with charitable programs that benefit our youth.

B.) To initiate and sponsor racquetball tournaments, championships, clinics, and exhibitions according to the rules of the MORA and USRA.

C.) To encourage and promote the adoption and use of unified national rules.
 

D.) To assist members with any available resources to participate, promote, or develop interest in the sport of racquetball.

E.) To oversee the MHSA and the MOJRA associations.  The MHSA & MOJRA will have filed fictitious names and will follow by-laws & constitutions of the MORA.
 
 

ARTICLE III

Section 1 - Membership
Membership in the Missouri Racquetball Association shall include the following three classifications:
 

  • Individual Member-Individual membership shall be open to any individual regardless of race, color, creed, age, sex, or national origin.
  • Institutional Member-Institutional memberships shall be open to any College or University of the state of Missouri.
  • Corporate Member-Corporate membership shall be open to any supporting organization of the state.  The members of this association shall be those persons, institutions, or organizations who shall pay a membership fee prescribed by the board of directors.  Membership in this organization shall qualify members to assist the Board of Directors in an advisory capacity.


ARTICLE IV

Section 1.  OFFICERS

A board of directors that will be comprised of four officers shall govern the association.  These officers will hold the title of President/CEO, Vice-President/COO, Secretary/Director Membership Relations, Treasurer/CFO, and Director of Youth Programs.  Officers must attend at least 50% of Board Meetings to keep their term in good standing.
The board, @ its annual meeting, shall elect the officers to serve 2year terms.  Officers may serve successive terms without limit if there are no applications for the said office.

Section 2.  Definition, Terms, and Duties of Officers

(a) President/CEO-The association shall have a president who shall be elected by a majority of the votes cast by the members of the Missouri Racquetball Association
 

  • The President shall be the executive officer of the corporation, shall have responsibility for the general management of the corporation, and shall see that all orders and resolutions of the Board are carried into effect.  The President shall report to the Board all matters within the President’s knowledge affecting the corporation that should be brought to the attention of the Board.
  • The President shall preside at all meetings of the Association membership and shall be an exofficio member of any and all operating committees.
  • The President shall be responsible for the affairs of the Association and shall execute and administer the policies established by the Board of Directors


(b) Vice President/COO
 

  • The Vice President shall be elected in the same manner and for the same term as that prescribed for the office of the President.
  • The Vice President shall replace the President in all activities in the event that the President can no longer carry out the duties of the office of President


(c) Secretary/Director Membership Relations
 

  • The Secretary shall be elected in the same manner and for the same term as that prescribed for the office of the President.
  • The Secretary will keep records of the proceedings of the meetings of the membership and the Board of Directors and shall make a report of these activities to the membership of the MRA via newsletter.


(d) Treasurer/CFO
 

  • The treasurer shall be elected in the same manner and for the same term as that prescribed for the office of President
  • The treasurer shall keep and maintain the financial records of the Association and shall at each meeting of the Board of Directors provide a current report on the financial status of the Association.


(e) Director of Youth Programs
 

  • The Director of Youth Programs shall be elected in the same manner and or the same term as that prescribed for the office of President
  • The Director will report to the Board upcoming activities of the Youth Program and possible resources needed
  • The Director shall report annually the status of Youth racquetball via newsletter.


Section 3-Removal and Replacement of Officers

The Board of Directors may remove an officer from office by a two-thirds vote.  If an officer of the Board dies resigns or is removed, a new office will be elected by a majority of votes cast by the Board of Directors.
 
 

ARTICLE V

Section 1-Governing Bodies

a) A Board of Directors will govern the Association.

b) A Board of Directors shall vest in the formulation of policy for the Missouri Racquetball Association.

c) The Board shall have at least five members but no more than twelve.

d) Members of the Board of Directors shall serve terms of no more than four years but can serve back to back terms as approved by the board.

e) The Board of Directors shall have the right to reject the application of any prospective member of the Association whose public actions have been judged detrimental to the welfare, image, and well being of Missouri Racquetball.  The Board of Directors shall have the right to suspend or terminate the membership of any person whose actions have been judged detrimental to the welfare, image, and well being of Missouri Racquetball.  These members may use the MORA disciplinary process to appeal.

f) The Board of Directors may employ administrative assistants or such persons as may be required for the proper conduct of the business of the association and at such compensation as the Board of Directors may deem proper.

g) At all meetings of the Board of Directors, a simple majority shall constitute a quorum and the actions of the Board at such meetings shall be binding upon all members of the Board.  Proxy votes will be accepted and can be received verbally or in writing.

h) The Board of Directors may authorize the President to sign all contracts and other instruments in writing, subject to prior approval of each such contract or instruments by the Board of Directors.

i) The President is authorized to conduct mail, telegraphic, telephonic, or electronic polls of the Board of Directors.  When balloting is completed, and so long as a simple majority of the Board responds, the President shall be charged with recording the votes and reporting the results to the Board of Directors.
 
 

ARTICLE VI

Section 1-Annual and Special Meetings

A. The annual meeting of the general membership will be held at the location of the State Tournament on any given day during the week for the said tournament.

B. The Board of Directors shall meet quarterly at such a location and date as determined at least one month in advance by the Board of Directors.

C. Special meetings of the Board of Directors shall also be called by the President on thirty days notice or the written request of two or more members of the Board of Directors.

D. The MHSA and the MOJRA will hold their own Board of Director meetings as deemed necessary by their own admission.
 
 

ARTICLE VII

Section 1-Elections

A. Each year persons interested in running for a position on the Board of Directors shall submit a request, in writing, to the Board to be considered for an open position of an expiring member.

B. Election to the Board of Directors shall be made by vote of the general membership whose ballots will be sent via newsletter.
 
 

ARTICLE VIII

Section 1-Amendments to the Constitution

This constitution may be amended at any regular annual meeting of the Board of Directors by a two-thirds vote of the Directors present and voting.
